Services included in a specific engagement are determined by the applicable proposal, package, invoice or written agreement.

Proposals, Packages & Scope of Work

Website pricing, service packages and other prices displayed on our website are starting prices unless expressly stated otherwise.

Final pricing may vary depending on factors including:

• Number of website pages
• Project complexity
• Required functionality
• Number of service or location pages
• Competition within the client's market
• SEO scope
• Content requirements
• Third-party software or services
• Custom requests

Work not included in the original agreed scope may require additional fees and approval before being completed.

Client Responsibilities

Clients are responsible for providing the information, materials, access and approvals reasonably necessary for Lokal Leads to perform agreed services.

This may include:

• Business information
• Logo and branding assets
• Images and photographs
• Website or hosting access
• Domain access
• Google Business Profile access
• Analytics or Search Console access
• Accurate service and business information
• Timely feedback and approvals

The client represents that it has the necessary rights, licenses and permissions to use any text, images, trademarks, logos or other materials provided to Lokal Leads.

Payments & Fees

Payment requirements will be stated in the applicable proposal, invoice or service agreement.

Depending on the project, Lokal Leads may require a deposit, setup fee, full upfront payment, milestone payments or recurring monthly payments.

Unless otherwise agreed in writing, work may be paused if an invoice becomes past due.

Clients are responsible for third-party expenses that are not expressly included in the Lokal Leads fee, which may include:

• Domain registration
• Website hosting
• Premium plugins or software
• Stock photography
• Advertising spend
• Third-party platforms
• Directory or listing fees

Revisions & Additional Work

The number of revisions included in a project may be specified in the applicable proposal or agreement.

Requests that substantially change the original project scope, require significant redesign, add pages, functionality or services, or occur after final approval may be treated as additional work and may result in additional charges.

Project Timelines & Delays

Any estimated completion dates are estimates unless Lokal Leads expressly agrees in writing to a guaranteed deadline.

Project timelines may be affected by:

• Client response times
• Delayed content or materials
• Revision requests
• Third-party service interruptions
• Hosting or domain issues
• Technical problems outside our control
• Changes to the agreed scope

Lokal Leads is not responsible for delays caused by the client's failure to provide requested information, approvals or account access.

SEO, Rankings & Marketing Results

Search engine optimization is an ongoing marketing process affected by numerous factors outside the control of Lokal Leads.

Search engines and third-party platforms independently determine rankings, visibility and algorithm changes. Rankings may increase, decrease or fluctuate over time.

Lokal Leads agrees to perform the services included in the client's package or scope of work but does not guarantee a particular business outcome.

Google Business Profile Services

Google Business Profiles are owned, operated and governed by Google and its applicable policies.

Lokal Leads may assist with profile optimization, services, categories, business information, posts, images, reviews, reporting and other profile-related activities depending on the client's package.

Lokal Leads cannot guarantee that Google will approve, verify, reinstate, rank or continue displaying any particular business profile.

The client is responsible for providing truthful and accurate business information and for operating in accordance with applicable platform requirements.

Third-Party Platforms & Services

Our services may involve third-party products or platforms such as website hosts, domain registrars, WordPress, plugins, Google services, analytics platforms, email systems, CRM platforms or other software.

Lokal Leads does not own or control these third-party platforms and is not responsible for their:

• Downtime
• Policy changes
• Pricing changes
• Account suspensions
• Security incidents
• Feature changes
• Algorithm updates

Use of third-party services may also be subject to the terms and privacy policies of those providers.

Intellectual Property & Ownership

Unless otherwise stated in a written agreement, once all amounts due for a completed custom website project have been paid, the client may use the final website content and design elements created specifically for that client for the operation and marketing of the client's business.

Lokal Leads retains ownership of its pre-existing materials, proprietary processes, workflows, templates, techniques, systems, reusable code, know-how and other materials not created exclusively for a particular client.

Third-party software, fonts, themes, plugins, stock images or other licensed materials remain subject to their respective licenses and ownership rights.

Portfolio & Promotional Use

Unless otherwise agreed in writing, Lokal Leads may display completed public-facing work in our portfolio, website, social media, proposals or other promotional materials for the purpose of demonstrating our services.

We will not intentionally disclose confidential client information in portfolio materials.

A client may request that a specific project not be used for promotional purposes, and such requests will be considered in good faith.

Cancellation & Termination

Cancellation requirements for ongoing services may be described in the applicable proposal or service agreement.

Clients remain responsible for amounts due for services performed before the effective cancellation date and for any non-refundable expenses incurred specifically for their project.

Lokal Leads may suspend or terminate services for reasons including:

• Nonpayment
• Fraudulent activity
• Abusive or threatening conduct
• Illegal activity
• Violation of platform policies
• Material breach of an agreement

Disclaimer of Warranties

To the extent permitted by applicable law, this website and our services are provided on an "as available" basis.

Lokal Leads does not warrant that the website or any third-party platform will always operate without interruption, error or security risk.

Except for obligations expressly stated in a written service agreement, Lokal Leads disclaims warranties that are not required by applicable law.

Limitation of Liability

To the fullest extent permitted by applicable law, Lokal Leads LLC will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the website or services.

This includes, where permitted by law, losses related to:

• Lost profits
• Lost business opportunities
• Lost search rankings
• Lost website traffic
• Third-party platform actions
• Website downtime
• Loss of data

To the extent permitted by law, Lokal Leads' aggregate liability relating to a particular paid service will not exceed the amount actually paid to Lokal Leads for the service giving rise to the claim during the applicable project or service period.

Client-Provided Materials & Indemnification

Clients are responsible for ensuring that materials and information they provide are lawful, accurate and do not infringe the intellectual property, privacy or other rights of third parties.

To the extent permitted by applicable law, the client agrees to be responsible for claims arising from client-provided materials, false business information, unlawful instructions or misuse of completed work.

Governing Law

These Terms are intended to be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where another jurisdiction's law is required to apply.

Any specific dispute-resolution, venue or jurisdiction provision contained in a separate written client agreement will control for that engagement.

Changes to These Terms

Lokal Leads may update these Terms from time to time to reflect changes in our website, services, business practices or applicable requirements.

Updated Terms will be posted on this page with a revised "Last Updated" date.

Material changes will apply prospectively to the extent required by applicable law and any separate contractual obligations.
